NounSwap Terms of Use Agreement

2. Use of the Interface

You agree to use the Interface in compliance with these Terms and all applicable laws and regulations.

• Prohibited Activities: You must not:
• Use the Interface for any unlawful or fraudulent purpose.
• Interfere with the proper functioning of the Interface or engage in activities that could harm NounSwap, its users, or third parties.
• Attempt to gain unauthorized access to any part of the Interface.
• Use automated systems or bots to access the Interface without prior written permission.
• Third-Party Wallets and Services: NounSwap interacts with third-party cryptocurrency wallets like MetaMask, Rainbow, and Coinbase. Your use of these wallets or third-party services is governed by their respective terms and policies. The Interface assumes no responsibility or liability for any issues, losses, or damages resulting from the use of these wallets or services.
• Supplemental Terms: Some features of the Interface may be subject to additional terms. In the event of a conflict between these Terms and supplemental terms, the supplemental terms will govern.

3. Service as an Interface Only

NounSwap provides an Interface that enables users to access and interact with the Ethereum blockchain protocol (the “Protocol”) in a decentralized manner.

• No Transaction Processing: As an Interface, we do not process or facilitate transactions between users or any third parties. All transactions are conducted directly on the Protocol, and NounSwap has no control over or involvement in these transactions.
• Access to the Protocol: The Interface is one of many ways to access the Protocol, and its use is entirely optional.
• No Guarantees or Liability: NounSwap does not guarantee the existence, authenticity, quality, safety, legality, or purpose of any content, materials, or transactions conducted through the Protocol.
• Dispute Resolution Disclaimer: While we may, at our sole discretion, assist in facilitating the resolution of disputes between users, NounSwap has no obligation to do so and cannot guarantee the outcome of any such efforts.

4. User Responsibilities

• Compliance: You are responsible for ensuring your use of the Interface complies with all applicable laws, including but not limited to tax reporting and cryptocurrency regulations in your jurisdiction.
• Accuracy of Information: You agree to provide accurate, complete, and current information when interacting with the Interface.

5. Assumption of Risk

NounSwap facilitates interactions with decentralized technologies, which involve inherent risks, including:

• Volatility in cryptocurrency prices.
• Smart contract vulnerabilities.
• Loss of funds due to user error, third-party actions, or technological issues.

You acknowledge that NounSwap is not responsible for any losses arising from your use of the Interface. You assume all risks associated with cryptocurrency transactions and decentralized finance (DeFi).

6. Disclaimer of Warranties

The Interface is provided "as is" and "as available," without warranties of any kind, either express or implied.

• We do not guarantee that the Interface will be uninterrupted, error-free, or secure.
• We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the fullest extent permitted by law, NounSwap and its affiliates are not liable for:

• Any issues, losses, or damages arising from third-party wallets, services, or the Protocol, including but not limited to failures, security vulnerabilities, or user errors.
• Any indirect, incidental, or consequential damages arising from your use of the Interface.
• Loss of funds, data, or profits, even if advised of the possibility of such damages.

Our total liability for any claim related to your use of the Interface is limited to the amount you paid to access the Interface (if any).

8. Indemnification

You agree to indemnify and hold NounSwap, its affiliates, officers, and employees harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms.
• Your use of the Interface or interactions with third-party services.

9. Modifications to the Interface and Terms

We reserve the right to modify or discontinue the Interface at any time without notice. These Terms may also be updated periodically. Material changes will be posted on the Interface, and your continued use constitutes acceptance of the updated Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

• Arbitration: Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Termination

We may suspend or terminate your access to the Interface at any time for any reason, including violation of these Terms. Upon termination, you must cease all use of the Interface.

12. Electronic Communications

By using the Interface, you consent to receive communications electronically. Such communications, including notices and agreements, satisfy any legal requirement for written communication.
